Billing, Cancellation, and Refund Policy

This Billing, Cancellation, and Refund Policy (“Policy”) explains how KeepSync (“we”, “our”, or “us”) handles subscription billing, cancellations, and refunds for services offered through https://www.keepsync.io/ (the “Service”).
By subscribing to or using the Service, you agree to the terms of this Policy.
1. Billing & Payments
1.1 Subscription Plans
Our Services may be offered on a subscription basis, billed either monthly or annually, depending on the plan selected by the Customer.
1.2 Billing Cycle
Fees are billed in advance at the beginning of your subscription term.
Your subscription will automatically renew unless canceled before the end of the current billing cycle.
1.3 Payment Methods
We accept payment by:
- credit/debit card,
- bank transfer (for enterprise plans),
- other payment methods as may be made available.
You authorize us (or our third-party payment processor) to charge all applicable fees to your chosen payment method.
1.4 Taxes
Prices may exclude VAT or other taxes.
Where applicable, such taxes will be added at checkout in accordance with the laws of the Republic of Cyprus and the EU VAT Directive.
1.5 Failed Payments
If a payment cannot be processed:
- we may suspend or limit access to the Service, and
- we may attempt to re-process the payment multiple times.
If payment remains unsuccessful, we may terminate your subscription.
2. Cancellations
2.1 How to Cancel
You may cancel your subscription at any time through your account settings or by contacting us at:

2.2 Cancellation Timing
Canceling your subscription does not trigger a refund (see Section 3).
After cancellation, you will retain access until the end of your current paid billing period.
2.3 Effect of Cancellation
After the subscription period ends:
- your access to paid features will be removed,
- your data may be deleted or limited according to our Data Retention Policy and Terms of Service.
3. Refund Policy
3.1 General Rule: No Refunds
Unless otherwise required by law, all fees are non-refundable and non-creditable, including:
- unused time in your billing period,
- plan downgrades,
- failure to use the Service,
- cancellation after automatic renewal.
This is standard practice for SaaS subscription services.
3.2 Exceptions
We may consider refund requests only in the following limited cases:
- A duplicate payment made in error.
- A proven billing error caused by us.
- A legally required refund, such as mandatory cooling-off periods for applicable EU consumer laws (usually not applicable to B2B services).
Refunds are issued at our sole discretion and typically processed to the original payment method.
3.3 EU Cooling-Off Notice
Because KeepSync operates primarily as a B2B SaaS product and service usage begins immediately, the EU “14-day cooling-off” period does not apply under Article 16 of the Consumer Rights Directive—unless you qualify as a consumer under EU law.
4. Subscription Upgrades & Downgrades
4.1 Upgrades
If you upgrade your plan, you will be charged a prorated amount for the remainder of the billing cycle.
4.2 Downgrades
Downgrades take effect at the start of the next billing period.
No refunds or credits are provided for downgrading during a current term.
5. Price & Plan Changes
5.1 Plan Modifications
We may modify the features or pricing of our plans at any time.
5.2 Notice of Changes
If pricing changes, we will notify you in advance (e.g., via email or through the Service).
Continued use after changes take effect constitutes acceptance of the new pricing.
6. Chargebacks & Disputes
6.1 Chargebacks
If you initiate a chargeback without contacting us first:
- we may suspend or terminate your account,
- we may dispute the chargeback with supporting documentation.
6.2 Resolving Billing Issues

7. Governing Law
This Policy is governed by the laws of the Republic of Cyprus.
Any disputes relating to billing or payments will be resolved exclusively in the courts of Nicosia, Cyprus.
